3. Customer Responsibilities
- Obtain and document all required consents/authorizations.
- Configure use cases lawfully; ensure data entered is accurate.
- Maintain security of accounts/endpoints.
- Honor data subject rights.
4. Third-party Services
Solutions may integrate third-party telephony, messaging, AI/NLP. Those services are governed by their own terms.
5. Fees & Payment
Subscriptions are billed per order form. Fees are non-refundable unless stated otherwise.
6. Trials & Beta Features
Trials and betas are provided "AS IS", may be limited or withdrawn.
7. Acceptable Use
- No reverse engineering or scraping.
- No attempts to re-identify de-identified data.
- No use to make solely automated decisions without human review where required.
8. Data Protection & HIPAA/PHIPA
Privacy practices are described in our Privacy Policy. For HIPAA, we execute BAAs where appropriate. Under PHIPA, IAS acts as a service provider.
9. Intellectual Property
IAS retains all rights in the services. Customer receives a limited license to use deliverables.
10. Confidentiality
Each party shall protect the other party’s Confidential Information with reasonable care.
11. Term & Termination
Either party may terminate as set out in the order. Upon termination, you must stop using the services.
12. Disclaimers
Services are provided "AS IS". IAS disclaims all warranties, express or implied.
13. Limitation of Liability
IAS will not be liable for indirect damages. Total liability is limited to fees paid in 12 months or $1,000 USD.
14. Indemnification
You will defend and indemnify IAS against third-party claims arising from your use.
15. Governing Law
Ontario law governs. Courts in Toronto have exclusive jurisdiction.
